Description of Services

Bemo Helper provides AI-powered solutions, including but not limited to automated chatbots, virtual receptionists, and communication automation tools (the "Services"). These Services utilize third-party Large Language Models (LLMs) to interact with your customers and manage business workflows.

Eligibility and Business Use

B2B Only: The Services are intended strictly for business entities and professional use. By agreeing to these Terms, you represent that you are acting on behalf of a business and not as an individual consumer.

Authority: you represent that you have the legal authority to bind your organization to these Terms.

Payments, Billing, Trials

Pricing: We offer monthly subscription plans and/or usage-based billing as described at the time of purchase.

Trials: We may offer trial periods. Upon expiration of a trial, continued access to the Services will require a paid plan.

No Refunds: All fees are non-refundable. Because our Services involve immediate resource allocation and third-party API costs, we do not provide credits or refunds for partially used months or canceled accounts.

Late Payment: Failure to pay fees when due may result in immediate suspension or termination of service.

Intellectual Property Rights

Ownership of Output: As between you and Bemo Helper, you own all rights to the specific text, data, and responses generated by the AI for your business ("Output"), subject to your compliance with these Terms and our third-party providers' terms.

Company IP: Bemo Helper retains all rights, title, and interest in our proprietary algorithms, software, website, and brand.

Feedback License: If you provide suggestions or feedback, you grant Bemo Helper a perpetual, irrevocable, royalty-free license to use those ideas to improve our models and services without compensation to you.

Limitations of AI Technology

Nature of AI: You acknowledge that AI-generated Output may occasionally be inaccurate, incomplete, or biased (often referred to as "hallucinations").

User Responsibility: You are solely responsible for reviewing and verifying the accuracy of any AI-generated communication before it is relied upon. Bemo Helper is not liable for errors, misinformation, or reputational damage caused by AI responses.

Third-Party Terms: Your use of the Services is also subject to the usage policies of our infrastructure providers (OpenAI, Anthropic, GoHighLevel, etc.).

Prohibited Conduct

You agree not to use the Services to:

Generate or transmit illegal, defamatory, or harmful content.

Attempt to reverse-engineer or "jailbreak" our AI systems.

Exceed reasonable usage limits or "fair use" policies as determined by Bemo Helper.

Use the AI to provide professional advice (e.g., medical, legal, or financial) that requires a license.

Limitations of Liability

To the maximum extent permitted by German law, Bemo Helper shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising out of your use of the Services. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Termination

By Client: You may terminate your subscription at any time via your account settings.

By Bemo Helper: We reserve the right to suspend or terminate your access immediately, without notice, if you violate these Terms, fail to make payments, or if our third-party providers terminate the underlying infrastructure.

Governing Law and Juristiction

Governing Law: These Terms are governed by the laws of the Federal Republic of Germany.

Mandatory Mediation: In the event of a dispute, both parties agree to attempt to resolve the matter through professional mediation in Berlin before initiating court proceedings.

Jurisdiction: If mediation fails, the courts of Berlin, Germany, shall have exclusive jurisdiction over any legal disputes.
